SERVICE AGREEMENT

THIS SERVICE AGREEMENT (hereinafter the “Agreement”) is between the user (you) and Paylow, a corporation organized and existing under the laws of the State of New York, with its principal office located at 3 Collage Road, Suite 104 Monsey NY 10901 (hereinafter “Paylow”) (Client and Paylow are collectively the “Parties”).

RECITALS

WHEREAS, Client desires to contract with Paylow for the services of Paylow in the following fields: bookkeeping, inbound answering services, outbound calling services, data entry, live chat support, social media management, information technology, email marketing, appointment scheduling, personal assistance, bookkeeping, cold calling, graphic design, CRM management, back office support, and customer service representatives (hereinafter collectively referred to as the “Services”). WHEREAS, Paylow desires to and is ready, willing, and able to provide such Services to Paylow on the mutual terms and conditions set forth herein this Agreement.

NOW, THEREFORE, FOR AND IN CONSIDERATION OF THE MUTUAL COVENANTS CONTAINED IN THIS AGREEMENT, AND OTHER GOOD AND VALUABLE CONSIDERATION, THE RECEIPT AND SUFFICIENCY OF WHICH IS HEREBY ACKNOWLEDGED, THE PARTIES AGREE AS FOLLOWS:

I. SERVICES. A. Client understands and agrees that the Services to be provided by Paylow to Client, pursuant to this Agreement, shall be so provided as more particularly set forth in Exhibit A attached hereto and made a part hereof by reference. B. Labor classifications applicable to Services to be provided pursuant to this Agreement shall be limited to those classifications set forth in Exhibit A. Exhibit A may be revised from time to time by mutual agreement between the Parties hereto. C. Client shall have sole discretion to establish the minimum qualifications necessary for the performance of any Service to be rendered under and pursuant to this Agreement. Further, if at any time and at its sole discretion, Client determines that the Services performed under and pursuant to this Agreement by any of the persons provided by Paylow are not satisfactory, Client will so notify Paylow in writing and Paylow shall immediately withdraw such individual and, at Client’s option, furnish an individual who meets the qualifications required.

II. COMPENSATION. For Services provided pursuant to this Agreement and the written requests of Client, Paylow shall be compensated as provided below: A. For labor expended by Paylow in providing Services under and pursuant to this Agreement, Paylow shall be paid an amount equal to the applicable hourly or daily rate multiplied by the total number of hours or days actually worked by persons provided by Paylow. The hourly or daily rate shall not exceed those rates set forth by Exhibit A applicable to the labor classifications set forth by Client’s written requests.

III. PAYMENT. Payment for Services to Client pursuant to this Agreement shall be paid in advance of Paylow providing such Services to Client. The rates for the Services are set forth in Exhibit A. Payment for Services is due upon execution of this Agreement. Client shall remit payment for Services to Paylow by credit card, PayPal, wire, or ACH debit. All payments must be in U.S. dollars.

IV. PAYLOW-PROVIDED WORKERS. Paylow-provided workers who perform Services for Client pursuant to this Agreement shall be bound by the provisions of this Agreement, and Paylow shall, at the request of Client, furnish to Client satisfactory evidence to that effect. Paylow utilizes a time management software for all its Paylow-provided workers called Time Doctor. Client shall have full access on a 24/7 basis to Time Doctor and all reports contained therein. Time Doctor provides Client a detailed account of the hours worked by all the Paylow-provided workers. Client consents to Paylow’s collection, storage, and use of this data.

Paylow provides a guarantee on all its Paylow-provided workers. If Client is not satisfied with a Paylow-provided worker, then Client shall communicate the same with Paylow via electronic mail to Hire@paylowstaffing.com. Paylow shall replace the Paylow-provided worker with an alternative Paylow-provided worker.
